Consideration of approval of Med-Act License Agreements with Johnson County, Kansas for use of allocated space in Olathe Fire Stations 52 and 53.

Summary:

The Johnson County Department of Emergency Services, MED-ACT Division ("Med-Act") provides ambulance transport services to Johnson County residents. Med-Act occupies a designated portion of Olathe Fire Station 52 and 53 for its day-to-day operations, including housing its personnel, ambulance, equipment, and supplies.

 

The City and County would like to formalize this co-location arrangement with the proposed License Agreement for each station. This agreement will be effective after BOCC approval expected in January 2025 and extend for a term of 5 years. The parties have agreed on a fee to be paid to the City, which is calculated using the square footage of each station allocated for Med-Act’s exclusive and/or shared use and set out in Exhibit B to the License Agreement. Utilizing this calculation, Med-Act will pay the City $174,233 for Station 52 and $196,697 for Station 53 up front for the five-year term. The same formula has been used in similar agreements with other local jurisdictions.

 

Pursuant to the agreement, both parties have termination rights, and those rights provide that if the agreement is terminated prior to its expiration, the City will refund a pro-rata amount of the fee to Med-Act. Additionally, the City bears the responsibility for repairing normal “wear and tear” items in the Med-Act space. Med-Act bears the responsibility of repairing any damage beyond normal “wear and tear” damage caused by its use of the space. At the end of the term, the agreement can be renewed for one additional five-year term. The City will be responsible for insuring Fire Stations 52 and 53 but will not insure any Med-Act contents housed at these fire stations as part of this agreement.

Financial Impact:

City will receive payment from Johnson County in early 2025 for Med-Act use of Fire Stations 52 and 53. Funds from this payment will allow for continued modernization of fire department facilities.
