Summary:

                     This Ordinance was presented as a report to the City Council at the October 1, 2019 Council meeting.  One additional technical correction was made, striking the word “or,” and inserting the word “with” on page 1 of the ordinance.  

                     The Olathe Community Foundation was established by Ordinance 18-08 on April 21, 2018.  Staff has prepared the attached Ordinance 19-66 (Attachment A), making several minor changes which should assist in the formation and operations of the foundation.  The changes are summarized as follows:

                     The first change allows the Governing Body to operate as the Board of the Directors of the Foundation until the members are appointed.  Potential board members may not be available to be appointed all at once, so this provision should create a smooth start-up period for the Foundation.

                     The second change softens the term limits for Board members.  Based on similar fundraising boards, it is expected that key business leaders from the community will serve on the Board, so strictly enforcing a rule of no more than two terms may not always serve the interest of the Foundation especially in retaining institutional knowledge on the Board.  Also, one correction was made about removing board members, to align the procedure with the City’s other boards and commissions.  This error was discovered after the report to council on October 1, 2019. 

                     The final change removes the requirement of Governing Body approval for any disbursement of funds.  Finding and committing to worthy community programs is a primary task to be delegated to the Board.
